CONTEST OVERVIEW: Weight Watchers International, Inc. (“Weight Watchers”) is looking for an enthusiastic culinary professional who believes that great tasting food can support a healthy lifestyle and no foods should be off-limits. Interested entrants should submit a culinary resume and a video (“Video”) demonstrating how he/she would help bring this philosophy to the Weight Watchers community and the general public. Video must include two (2) segments: (1) your “Introduction” where you provide a brief introduction of yourself (identifying yourself, your hometown and the number of years of experience that you have as a culinary professional); and (2) your “Food Philosophy” where you explain how great tasting food can support a healthy lifestyle, and demonstrate or share a “Recipe Makeover” where you put your “Food Philosophy” into practice by re-imagining and re-configuring an indulgent dish so that it is healthier while still tasting delicious. 

The Chew Search for the Weight Watchers Chef” (the “Contest”) consists of two components: (a) a competition where up to six (6) finalists (“Finalists”) will be selected by The Chew and Weight Watchers (the “Competition”); and (b) a Cook-Off (as defined below) that will air as part of The Chew in January and February 2014 to determine the Grand Prize winner from among the Finalists. The winner of the Cook-Off will receive a 12-month consulting agreement with Weight Watchers with a value of $75,000.

By participating in the Contest, you agree to be bound by and abide by these Official Rules and the decisions of Sponsors and Administrator which are final and binding in all respects and not subject to appeal.

Sponsors reserve the right, in their sole discretion, to modify any dates and times as outlined in the table above, for any reason including but not limited to changes to production schedule and logistical reasons.

1.     Co-Sponsors: American Broadcasting Companies, Inc., 77 West 66th Street, New York, NY 10023 (“ABC”); Weight Watchers International, Inc., 675 Avenue of the Americas, New York, NY 10010 (collectively, “Sponsors”).

2.     Administrator: LeadDog Marketing Group, 440 Ninth Avenue,17th Floor, New York, NY 10001 (“Administrator”).

3.     Eligibility: Each person submitting an entry into the Contest (each, an “Entrant”) must meet all of the following criteria:

(i) Must be a legal resident of the 50 United States and the District of Columbia; must be at least 18 years of age (or the age of majority in the jurisdiction of their residence, whichever is older) at the time of entry; have the unrestricted right to work in the United States; be a past or present culinary professional such as a chef (including station chef, sauté chef, chef manager, head chef, executive chef, master chef, sous-chef, line cook, caterer, or personal chef), culinary arts professor/teacher, recipe developer or otherwise have sufficient relevant professional experience as a culinary professional (whether experience is past or present) as determined by Sponsors in their sole discretion; if selected as a Finalist, be able to attend tapings of The Chew in January and February 2014 when the “Cook-Off” will be conducted; must have all right, power and authority to enter into a consulting chef agreement with Weight Watchers, so that the execution and performance of such agreement will not violate any of Entrant’s existing legal obligations; must not be involved professionally or promotionally with a Competitive Product (as defined below); must not have been convicted of, or currently charged with, a felony or crime of moral turpitude, as determined by Sponsors in their sole discretion.

(ii) Employees and independent contractors of Sponsors, Administrator, any organizations responsible for sponsoring, fulfilling, administering, advertising or promoting the Contest, persons involved in the creation, development or production (including hosts and crew) of The Chew television show and/or each of their respective parent, subsidiary, affiliated and successor companies, franchisees and the immediate family and household members of all such foregoing individuals, are not eligible to enter or win the prize. "Immediate family members" shall mean parents, step-parents, children, step-children, siblings, step-siblings, or spouses, regardless of where they live. "Household members" shall mean people who share the same residence at least three months a year, whether related or not.

(iii) Individuals who at any time during the Promotion Period or at any time during the six (6) months prior to the start of the Promotion Period were employed by or have any other professional or promotional relationship with any (a) weight loss service; (b) weight management service; and/or (c) product marketed in connection with any weight loss or weight management program or system, (collectively, “Competitive Products”) are not eligible to enter, be selected as a Finalist or win the prize. For purposes of clarity, Competitive Products shall not include any gyms, fitness centers or health clubs.

Sponsors and Administrator shall determine whether a given individual is eligible to participate in the Contest in their sole discretion, with such decisions being final and binding and not subject to appeal.

By entering, each Entrant understands and agrees that, if selected as a potential Finalist, he/she will be required to consent to a background check; and, failure to sign such consents and authorizations and/or to furnish all required information will result in disqualification. In addition, Sponsors reserve the right in their sole discretion, to disqualify any Entry and/or disqualify a Finalist from the Cook-Off (as defined below) if the results of such background check reveal that a potential Finalist is not eligible to participate in the Contest, as determined by Sponsors in their sole discretion.


4.    
Contest Schedule: Contest begins on or about 12:00:01 a.m. ET on 11/18/13 and ends 11:59:59 p.m. ET on 2/5/14 (“Promotion Period”). Entries must be received between 12:00:01 a.m. ET on 11/18/13 and 11:59:59 p.m. ET on 12/8/13 (“Entry Period”). The Chew's computer is the official clock for the Contest.


5.     Contest Entry: To enter, go to www.TheChew.com (“Contest Website”) and follow the instructions to submit your entry. An “Entry” consists of (1) an individual’s registration information, (2) his/her Culinary Resume (as defined below) and (3) his/her Video, all as described below. See below for details regarding video content, formatting and other entry requirements and restrictions. 

Step 1 (Registration): You must complete the Disney family of sites registration and the “The Chew Search for the Weight Watchers Chef” entry form in order to enter. 

(i) Disney Family of Sites Registration:

You must be a registered member of the Disney family of sites to enter the Contest. Registration is free and only required once. If you’ve ever registered with one of Disney’s family of sites, such as ABC.com, Disney.com, ESPN.com, and more, you need not register again, however, additional information may be required of you. Register as follows: 

1.) If you are an existing member, click on the “Enter Now” button to begin the entry process and sign-in on the Contest Website with your current member name and password.

2.) If you are not an existing member, click on the “Enter Now” button to begin the entry process. You can register for an account by clicking on the link located on the Contest Website. You will be asked to provide your name, mailing address (with zip code), e-mail address, gender, birthday, country, phone number and to select a user name and password.

 It is the sole responsibility of the Entrant to notify the Disney family of sites if Entrant changes his/her e-mail address by amending their email address via the registration procedure for the particular, applicable Disney site; for example, if registered with ABC.com, go to (https://register.go.com/go/memberservices/home).

 (ii) The Chew Search for the Weight Watchers Chef” Entry Form:

Once you have completed the Disney family of sites Registration or signed in, as applicable, fill out the online entry form on the Contest Website completely by providing your full name, home address, phone number and email address (this is required even if the same information has been previously provided as part of Disney family of sites registration).

CLICK THE CHECK BOX SIGNIFYING THAT YOU ARE 18 OR OLDER, MEET THE CONTEST ELIGIBILITY REQUIREMENTS AND HAVE READ AND AGREE TO THESE OFFICIAL RULES. IF YOU DO NOT CHECK THE BOX INDICATING YOUR CONFIRMATION OF AND AGREEMENT TO THE ABOVE ITEMS, YOU WILL NOT BE ENTERED IN THE CONTEST AND CANNOT WIN THE PRIZE.

Personal information collected in connection with this Contest will be treated in accordance with ABC’s Privacy Policy, available at http://disneyprivacycenter.com.

You may be asked to consent to receive promotional and reminder e-mails from ABC, the Disney family of sites, Weight Watchers and/or from third parties. Consenting to receive promotional and/or reminder e-mails is optional and does not have to be agreed upon in order to be eligible to participate in the Contest and does not improve your chances of winning. In the event you consent to receive these e-mails, the use of such e-mails shall be subject to the privacy policy of ABC (available at http://disneyprivacycenter.com) and/or Weight Watchers (available at https://www.weightwatchers.com/legal/privacy.aspx), and you may opt out of receiving these e-mails at any time.

Step 2 (Submission of Culinary Resume): After completing your registration and the Contest entry form, upload your culinary resume (“Culinary Resume”) to the Contest Website. Culinary Resume must be submitted online as part of the entry form (e-mail attachments will not be accepted). Culinary Resume must be in one (1) of the following formats: DOC, PDF or TXT. CULINARY RESUME WILL NOT BE KEPT CONFIDENTIAL; IT IS THEREFORE RECOMMENDED THAT YOU CONSULT YOUR EMPLOYER BEFORE SUBMITTING A CULINARY RESUME AND ENTERING THE CONTEST. CULINARY RESUME MUST BE SOLELY THE ENTRANT’S ORIGINAL WORK. BY SUBMITTING A CULINARY RESUME, YOU (1) REPRESENT AND WARRANT THAT ALL EDUCATION, EXPERIENCE, EMPLOYMENT HISTORY AND OTHER INFORMATION/CREDENTIALS INCLUDED THEREON ARE COMPREHENSIVE, COMPLETE AND FULLY TRUTHFUL AND (2) UNDERSTAND AND EXPRESSLY CONSENT TO SPONSORS, ADMINISTRATOR OR A THIRD PARTY ACTING ON THEIR BEHALF CONTACTING THE PERSON(S), EMPLOYER(S), EDUCATIONAL AND/OR OTHER INSTITUTION(S) INCLUDED ON THE CULINARY RESUME FOR VERIFICATION/CORROBORATION PURPOSES AND FURTHER AGREE TO PROVIDE, PROMPTLY UPON REQUEST, ANY ADDITIONAL CONSENTS SO AS TO FACILITATE SUCH VERIFICATION/CORROBORATION BY SPONSORS, ADMINISTRATOR OR A THIRD PARTY ACTING ON THEIR BEHALF.

Step 3 (Submission of Video): Upload your Video. Video must include BOTH segments: an Introduction and your Food Philosophy with Recipe Makeover as specified below. 

(i)    Introduction: Your Introduction must be the first segment of your Video. It is recommended that your Introduction not exceed one (1) minute in length. During your Introduction, you must state the following (on camera): your name, your hometown, and how many years’ experience you have as a culinary professional. With the exception of your name and hometown, no other personally identifiable information should be included in this Introduction.

(ii)   Food Philosophy and Recipe Makeover: Your Food Philosophy and Recipe Makeover should immediately follow your Introduction. In this segment, you should explain how great tasting food can support a healthy lifestyle and demonstrate or share a recipe where you put your philosophy into practice by re-imagining and re-configuring an indulgent dish so that it is healthier while still tasting delicious (while you may demonstrate your recipe, it is not required).

It is recommended that your entire Video (including your Introduction, Food Philosophy and Recipe Makeover) not exceed five (5) minutes in total length. If a Video exceeds five (5) minutes in total length, Sponsors reserve the right, in their sole discretion, to either disqualify the Entry or to only watch and judge the first (5) minutes of the Video.

Entrant should be the only person appearing in the video. If any other persons appear in or were involved in the creation of your video (including without limitation the videographer who took the video, you agree that prior to submitting your Entry, you have obtained the written consent of each such person, granting the Sponsors and their designees the right to use each such person’s name, biographical information, image and/or likeness for advertising, publicity and promotional purposes in any and all media, now or hereafter known, worldwide and on the Internet (including without limitation, for posting on the Contest Website in connection with the Contest), and in perpetuity by the Sponsors and their designees, without compensation (except to the extent prohibited by law) or additional consents and without prior notice, approval or inspection, and to execute specific written consent to such use if asked to do so. Sponsors reserve the right to request proof of these permissions in a form acceptable to Sponsors from you at any time. Without limiting the foregoing, all potential Finalists must furnish proof of such consents in a form satisfactory to Sponsors as a condition of being confirmed as a Finalist as set forth in Section 7 below. Failure to provide such proof, if requested, may result in your disqualification, at Sponsors' sole discretion.

Additional Video Requirements:

(i)    Video (including your Introduction, Food Philosophy and Recipe Makeover) must be an original submission created for this Contest.

(ii)   Video must be in English.

(iii)  Video may not include any music.

(iv) Video must not violate any law or regulation.

(v)  Video (including your Introduction, Food Philosophy, and Recipe Makeover) must not violate or infringe any right of any third party, including but not limited to intellectual property rights, such as but not limited to rights of copyright, trademark or patent, or rights of publicity or privacy. Without limiting the foregoing, your Food Philosophy/Recipe Makeover cannot include any confidential information or a trade secret of any kind. Also, so as to respect third party's intellectual property rights, you should identify products generically (i.e., not using brand names), as well as not highlighting product designs or logos.

(vi) Video must not be defamatory, slanderous, libelous, obscene or indecent

(vii)Video may not portray any person in a false light.

(viii)  Avoid the use of profanity in your Video.

(ix) Video (including Recipe Makeover) must not have been submitted in any other competition or contest or widely distributed, disseminated or publicized (as determined by Sponsors in their sole discretion).

(x)  Video must not contain any virus, bugs, or other deleterious material.

In addition to the foregoing requirements, Entries may not contain, and Sponsors, in their sole discretion, may disqualify and/or remove any Entry that contains any content that: (1) violates any law or regulation; (2) violates or infringes any right of any third party, including but not limited to intellectual property rights, such as but not limited to rights of copyright, trademark or patent, or rights of publicity or privacy; (3) is defamatory, slanderous, libelous, scandalous or obscene; (4) contains any third person’s personal information, such as personal names or e-mail addresses; (5) contains any virus, bugs, or other deleterious material; (6) contains materials owned by third parties (e.g. trademarks, trade dress, trade names or logos of any third party); (7) embodies the names or likenesses of any individuals other than Entrant unless Entrant has first obtained the consent of any named/depicted/described person as set forth herein; (8) is sexually explicit or suggestive; violent or derogatory of any ethnic, racial, gender, religious, professional or age group; profane or pornographic; contains nudity; (9) promotes alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing); (10) promotes any activities that may appear illegal, unsafe or dangerous; promotes any particular political agenda or message; (11) is obscene or offensive; (12) communicates messages or images inconsistent with The Chew's/Weight Watchers' reputations, images and/or goodwill; or (13) is otherwise inappropriate, objectionable, or unsuitable for the uses contemplated in these Official Rules, as determined by Sponsors in their sole discretion. Without limiting the foregoing, Entry must comply with ABC's Broadcast Standards & Practices guidelines.

If a Video or Culinary Resume is unable to be viewed by the Sponsors for any reason whatsoever, that Video/Culinary Resume (as well as the Entry of which it is a part) may be disqualified (and Released Parties, as defined in Section 10 below, will not be responsible or liable for any such inability). By submitting an Entry, you represent and warrant that your Entry does not violate the rights of any third party.

Video Formatting Requirements:

(i)    Video should not be more than five (5) minutes in length with approximately one (1) minute for the Introduction and approximately up to four (4) minutes for Food Philosophy and Recipe Makeover. If a Video exceeds five (5) minutes in total length, Sponsors reserve the right, in their sole discretion, to either disqualify the Entry or to only watch and judge the first (5) minutes of the Video.

(ii)   Video must be in one (1) of the following formats: MOV, AVI, MPEG, MPG, MP4, FLV, M4V, WMV, or 3GP.

(iii)  Video resolution must be no lower than 400 x 300.

(iv) Video file cannot exceed 2,000MB in size.

Additional Entry Restrictions:

(i)    Partial or incomplete/piecemeal submissions (e.g., submission of registration without Video; submission of Video without registration; submission of Video and/or registration without Culinary Resume; submission of a Video without an Introduction, Food Philosophy and Recipe Makeover) will NOT be accepted. For the avoidance of doubt, all elements of Entry must be submitted contemporaneously, during the same on-line session; certain elements of an Entry will not be saved by the Contest Website for full submission of Entry at a later time.

(ii)   No group/club/business/organization entries.

(iii)  No joint entries; a single individual must be identified as the Entrant submitting a Video.

(iv) Registration information must be manually key-stroked. Use of automated devices or programs for purposes of registration/entry is prohibited.

(v)  Once submitted, Video cannot be modified by Entrant or supplemented by Entrant.

(vi) Entries will not be returned. 

Send your entry by clicking the submit button on the entry page. Without the Video and/or Culinary Resume, entry will be deemed incomplete and will be disqualified. All entries must be received by 11:59:59 p.m. ET on 12/8/13.

Limit one (1) Entry per person during the ENTRY Period. Multiple entries in excess of this limitation or mass entry attempts will result in disqualification of all entries by such person. Entries must be manually key-stroked; use of automated entry devices or programs is prohibited.

6.     Judging: Administrator will review all eligible Entries received and recorded during the Entry Period on a rolling basis to determine the approximately top thirty (30) Entries based on the judging criteria (as described below) and will forward such Entries to the Judging Panel (defined below). Administrator reserves the right to advance more or less than thirty (30) Entries to the Judging Panel, in its sole discretion. The approximately top thirty (30) Entries will then be judged by an official judging panel consisting of representatives of The Chew and Weight Watchers (“Judging Panel”). The Judging Panel will select up to six (6) top Entries from among all eligible Entries received. The Entrants who submitted the top six (6) Entries will be the Finalists for the Cook-Off, subject to verification of their eligibility and compliance with these Official Rules. Sponsors reserve the right to advance fewer than six (6) Entries to the Cook-Off if, in their sole discretion, if they do not receive a sufficient number of eligible Entries of sufficient quality.

Judging will be based on the following criteria: Demonstration that great tasting food can support a healthy lifestyle and the ability to demonstrate or share a recipe that puts this philosophy into practice (60%); Telegenic/Charismatic/Well-Spoken/and suitable to represent Weight Watchers (40%). In the event of a tie, the Entry from among all such tied Entries with the higher/highest score in the “Demonstration that great tasting food can support a healthy lifestyle and the ability to share a recipe that puts this philosophy into practice” criterion will be considered the Finalist. In the event a tie remains, an additional judge of the Sponsors’ choosing will be brought in to reevaluate the tied Entries. The decisions of the judges in all matters relating to the Contest are final and binding in all respects.


7.    
Finalists/Cook-Off: Each potential Finalist will be notified by e-mail on or about 12/16/13. Sponsors may also, in their sole discretion, contact for verification purposes more than six (6) potential Finalists to ensure that there will be up to six (6) eligible Finalists. Not everyone contacted for verification purposes will become a Finalist. Failure to respond to the initial verification e-mail within seventy-two (72) hours of notification or return of e-mail notification as undeliverable after two (2) attempts may result in disqualification, at Sponsors’ sole discretion. Once a potential Finalist responds to the initial verification e-mail, he/she will be sent an Affidavit of Eligibility, Grant of Rights, Release and Indemnification and Publicity Release, where allowed by law, the necessary paperwork (and written consents/authorizations) for a background check, as well as any other documents Sponsors may require, including without limitation, a release from any person(s) that were involved in the creation of the Video (collectively, “Finalist Documents”). Each potential Finalist will have two (2) business days from the date of transmission of the Finalist Documents to execute and return the Finalist Documents. Additionally, each potential Finalist will be sent a Weight Watchers Consulting Agreement (“Agreement”), subject to the limitations set forth below. Each potential Finalist will have five (5) days from the date of transmission of the Agreement to execute and return the Agreement. Executing and timely return of these items is mandatory to become a Finalist. THE AGREEMENT IS NOT FINAL OR ENFORCEABLE AND WILL NOT TAKE EFFECT UNLESS AND UNTIL IT IS COUNTER-SIGNED BY AN AUTHORIZED REPRESENTATIVE OF WEIGHT WATCHERS. THE AGREEMENT WILL BE COUNTER-SIGNED BY WEIGHT WATCHERS AND BECOME EFFECTIVE ONLY IF YOU ARE THE GRAND PRIZE WINNER OF THE CONTEST. ACCORDINGLY, PLEASE NOTE THAT SIGNING THE AGREEMENT IN AND OF ITSELF DOES NOT MEAN THAT YOU WILL BE AWARDED THE GRAND PRIZE OR BE ENTITLED TO THE BENEFITS CONTAINED IN THE AGREEMENT. Each Finalist is encouraged to consult with legal counsel in reviewing and executing the Agreement. If Finalist Documents and the Agreement are not executed and returned to Sponsors within specified time periods, potential Finalist may be disqualified.

Each potential Finalist must be available to travel to New York, NY in January and February 2014 so as to attend all rounds/tapings of the Cook-Off; if potential Finalist cannot attend all Cook-Off rounds/tapings for any reason, he/she will be disqualified. If confirmed as a Finalist, he/she will be required to travel to New York, NY up to two (2) times in connection with the Cook-Off, depending on his/her performance in the Cook-Off (as described below). If a potential Finalist is disqualified for any reason, such potential Finalist will forfeit the opportunity to compete in the “Cook-Off” and possibly win the Grand Prize. If potential Finalist is disqualified, Sponsors may select an alternate Finalist from all remaining eligible entries received during the Entry Period provided sufficient time remains prior to the Cook-Off. Sponsors and Administrator reserve the right, without liability of any kind, to select fewer than six (6) Finalists and conduct the “Cook-Off” with fewer than six (6) Finalists.

If verified as eligible and in compliance with these Official Rules, each Finalist will have the opportunity to cook and compete against other Finalists at the Cook-Off on the set of The Chew, in New York, NY scheduled to take place in January and February 2014 as set forth in the Cook-Off taping schedule below, for a chance to win the Grand Prize (also referred to herein as the “Show Grand Prize” or “Grand Prize”). For the avoidance of doubt, Finalist must compete in the Cook-Off him/herself and cannot nominate a third party proxy to compete in the Cook-Off on his/her behalf. The winners of each Round (and, eventually, the Grand Prize winner) will be determined by the hosts of The Chew and a representative of Weight Watchers.

Each Finalist will be provided with the Official Rules for the Cook-Off (“Cook-Off Rules’’) upon being confirmed as a Finalist. (In the event of an inconsistency between these Official Rules and the Cook-Off Rules, the Cook-Off Rules shall prevail, govern and control only with regard to the conduct of the Cook-Off and, in all other respects, these Official Rules will prevail, govern and control.)

A Finalist could be required to travel to New York, NY up to two (2) times to compete in the Cook-Off; whether a Finalist travels once or twice to New York, NY depends on his/her performance in the Cook-Off. All six (6) Finalists will be required to attend Round One where a Finalist will compete against one (1) other Finalist (Sponsors will determine who each Finalist competes against in their sole discretion). If a Finalist wins Round One of the Cook-Off, he/she will advance to Round Two and will be required to travel a second time to New York, NY. A maximum of three (3) Finalists will advance to Round 2, where all three (3) will compete against each other. The top two (2) Finalists from Round 2 will advance to Round 3. Full details of the Cook-Off will be disclosed in the Cook-Off Rules.

Each Finalist will be provided with travel and hotel accommodations (as applicable), at ABC’s sole discretion, to ensure his/her attendance at each of the Cook-Off rounds/tapings he/she competes in. 

Each Finalist must follow all instructions of Sponsors relative to the Cook-Off. Should Finalist fail to adhere to any such instructions or engage in unruly, obnoxious, illegal, threatening, or otherwise inappropriate behavior including but not limited to during the Cook-Off itself (as determined by Sponsors in their sole discretion), Sponsors reserve the right, without further notice or warning, to terminate the trip (including disqualification of Finalist from further participation in the Cook-Off, notwithstanding previous results) and send Finalist home and take other actions as Sponsors deem appropriate in their sole discretion without any liability or other obligation to Finalist.

Show tapings are subject to, and Sponsors are not responsible for, changes to production schedule, production exigencies or delays, postponements, preemptions or cancellation of The Chew. Each Finalist must comply with The Chew’s rules and regulations. Without limiting the foregoing, each Finalist must follow any and all instructions of Sponsors during each taping of The Chew (including but not limited to the Cook-Off Rules) and not engage in any conduct in violation of the broadcast standards and practices of ABC. Failure to do so may result in disqualification as well as forfeiture of the opportunity to compete for the Show Grand Prize. In the event the Finalist does travel to New York to compete in the Cook-Off on The Chew, but the show taping does not or cannot take place as scheduled or at all, for reasons including but not limited to scheduling conflicts, cancellation, postponement, preemption, location changes, an event of force majeure, or for any other reason, then Sponsors will have no obligation of any kind to Finalists and will determine the Show Grand Prize winner via a method of Sponsors’ sole choosing which Sponsors deem to be fair and appropriate.

Finalists understand and agree that, as between ABC and Finalist, ABC shall own any and all rights to the taping of The Chew including all rounds/tapings of the Cook-Off. Finalist further agrees, upon request of ABC and without compensation of any kind, to sign and return all releases and other necessary documents so as to perfect, record or effect ABC's ownership rights in such material.


8.     Show Grand Prize (1): Grand Prize winner (“Winner”) will receive a consulting agreement with Weight Watchersfor a term of one (1) year. Winner will receive consultant fees in the amount of $75,000 (awarded as twelve (12) monthly installments of $6,250.00.) The rights and responsibilities of the Winner will be governed by the Agreement, which Winner previously executed as part of the Finalist verification procedure (as per Section 7 above). NOTWITHSTANDING THE FOREGOING, THE AGREEMENT IS NOT FINAL OR ENFORCEABLE AND WILL NOT TAKE EFFECT UNLESS AND UNTIL IT IS COUNTER-SIGNED BY AN AUTHORIZED REPRESENTATIVE OF WEIGHT WATCHERS. THE AGREEMENT WILL BE COUNTER-SIGNED BY WEIGHT WATCHERS AND BECOME EFFECTIVE ONLY IF YOU ARE THE GRAND PRIZE WINNER OF THE CONTEST. ACCORDINGLY, PLEASE NOTE THAT SIGNING THE AGREEMENT IN AND OF ITSELF DOES NOT MEAN THAT YOU WILL BE AWARDED THE GRAND PRIZE OR BE ENTITLED TO THE BENEFITS CONTAINED IN THE AGREEMENT.

As Winner, duties may include but are not limited to a minimum of fifteen (15) service days, to be used (but are not limited to) the following ways: immersion and message training session; media opportunities which may require travel (at Weight Watchers' expense); appearances at relevant Weight Watchers events and meetings, and additional travel (at Weight Watchers' expense). Winner may also be asked to attend up to two (2) training days at Weight Watchers offices (at Weight Watchers’ expense). In addition to service and/or training days, Winner will be involved in Content Development (including but not limited to): recipe and relevant content development and participation (if needed, e.g., recipe shoots) for Weight Watchers channels including but not limited to, WeightWatchers.com, publishing (both Weight Watchers Magazine and Licensed cookbooks), social and digital content (Facebook, Twitter, Pinterest, YouTube, Instagram), email and direct mail communications, Weight Watchers meeting room collateral, Weight Watchers Health Solutions opportunities.

For the avoidance of doubt, nothing in these Official Rules in any way obligates Weight Watchers to use any work product created/services provided pursuant to the Agreement, with Weight Watchers fully performing its obligations to the Winner by paying him/her $75,000 as outlined above pursuant to the Agreement. The Winner will consult for Weight Watchers on an exclusive basis and will not work with, or for, any weight loss company, product or other competitor of Weight Watchers during the Term. The Winner will be bound to strict provisions regarding confidentiality, morals, and non-disparagement. Should Winner sign the Agreement but fail to honor his/her commitments pursuant to thereto, any unawarded portion of Grand Prize may be forfeited, with certain obligations from the Agreement still being binding upon Winner, and Weight Watchers shall have no further liability or obligation to Winner. (Among other provisions, Winner must have all right, power and authority to enter into and perform the obligations of the Agreement, such that the execution and performance of the Agreement does not violate any existing legal obligation of Winner.)

Federal, state and local taxes of any prize(s) are the sole responsibility of the Finalists/Winner, who will receive a 1099 tax form relative to the receipt of a prize from Sponsors if the value of such prize exceeds $600.


9.     Grant of Rights In Entry/Possible Posting of Entry:

Without limitation of the Terms of Use posted on the Contest Website, by submitting an Entry, each entrant grants Sponsors a perpetual, non-exclusive, irrevocable, fully-paid, royalty-free, sub-licensable and transferable (in whole or part) worldwide license to use, reproduce, transmit, display, exhibit, distribute, create derivative works based upon, publicly perform and otherwise exploit the Entry, in whole or in part, in all media formats and channels now known or hereafter devised (including without limitation, for use and display on the Contest Website and/or otherwise in connection with The Chew) for any and all purposes including entertainment, news, advertising, promotional, marketing, publicity, trade or commercial purposes, all without further notice to the entrant, with or without attribution, and without the requirement of any permission from or payment to the entrant or to any other person or entity.

By submitting an Entry, each entrant agrees to grant Sponsors and their designees the use of entrant’s name, biographical information, photograph, image and/or likeness for programming, advertising, publicity and promotional purposes in any and all media, now or hereafter known, worldwide and on the Internet, and in perpetuity by Sponsors and their designees, without compensation (except to the extent prohibited by law) or additional consents and without prior notice, approval or inspection, and to execute specific written consent to such use if asked to do so.

Without limitation of the Terms of Use posted on the Contest Website, each Entrant further expressly acknowledges that Sponsors and their designees do not owe him/her a duty of confidence (or fiduciary duty or the like) with regard to his/her entry (including the Video and Culinary Resume); and, with regard to the content of the Video, that Sponsors and their designees have wide access to ideas, stories, photos, recipes, designs and other literary/artistic materials submitted to it from outside sources or being developed by their own respective employees and that such ideas/stories/photos/designs/recipes/literary/artistic materials may be competitive with, similar to (or even identical to) the Video submitted by Entrant (including the Food Philosophy and Recipe Makeover) and that Sponsors and their designees shall have no liability to Entrant or any third party in conjunction therewith.

Eligible Entries received by Sponsors may be posted, in whole or in part, on the Contest Website for public viewing; such posting has no effect on the judging of Entries as set forth below. Entrants understand and agree that Entries may be formatted, edited or otherwise converted in order to be viewable on the Contest Website. Sponsors reserve the right to remove any Entry from the Contest Website at any time and for any reason. Sponsors may but are not obligated to post Entries on the Contest Website; if Sponsors choose to do so, such posting is for entertainment purposes only and each Entrant releases and agrees to hold harmless the “Released Parties” (as defined below) from any and all liability associated with possible posting (or, conversely, non-posting) of his/her Entry on the Contest Website, including his/her express acknowledgment that (a) if posted, posting of the Entry does not constitute any representation by Sponsors as to Contest eligibility; (b) if posted, the Entry as posted may differ from the video submitted by Entrant, and may not be viewable at all times, due to technological limitations/malfunctions/errors or other causes; (c) Entries may be displayed on the Contest Website in any pattern, sequence or format, and such pattern/sequence/format may or may not be rotated or varied, in Sponsors’ sole discretion; (d) Entry may or may not be attributed to Entrant, with all other aspects of the attribution (such as, prominence and placement) being at Sponsors’ sole discretion. FOR ALL VIDEOS POSTED ON THE CONTEST WEBSITE, IF ANY, THE VIDEOS REPRESENT SOLELY THE VIEWS/OPINIONS OF THE INDIVIDUAL ENTRANT AND DO NOT REFLECT THE VIEWS/OPINIONS OF SPONSORS IN ANY MANNER. SPONSORS ARE ACTING AS A PASSIVE CONDUIT FOR THE POSTING/PUBLICATION OF VIDEOS AND HAVE NO OBLIGATION TO AND EXPRESSLY DISCLAIM ANY AND ALL LIABILITY IN CONJUNCTION WITH SCREENING, MONITORING OR REVIEWING THE CONTENT OF VIDEOS. Without limitation of any other terms herein, by entering, each Entrant agrees to indemnify and hold harmless Released Parties (as defined below) from any action or liability resulting from the possible publishing of his/her Video (in whole or in part) and/or use of the Video (in whole or in part).


10. 
General Conditions and Limitations of Liability: Void where prohibited or restricted by law. Sponsors reserve the right in their sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or to be acting in violation of these Official Rules (or the Cook-Off Rules, as appropriate). Any attempt by any person to deliberately undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, Sponsors reserve the right to seek damages from any such person to the fullest extent permitted by law. Sponsors’ failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. Sponsors and their agencies are not responsible for failed, partial or garbled computer transmissions, or for technical failures of any kind, including but not limited to electronic malfunction or damage of any network, hardware or software. If for any reason the Contest (in whole or in part) is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, fire, flood, storm or other natural cataclysm, riot, strike, civil commotion, governmental regulation or any other causes beyond Sponsors' control that corrupt or affect the administration, security, fairness, integrity or proper conduct of the Contest, Sponsors reserve the right, in their sole discretion, to disqualify any individual who tampers with the entry process, and to terminate, modify or suspend the Contest. In such event, Sponsors reserve the right to conduct the Contest, select Finalists and award the Grand Prize (as discussed above) in a manner which is fair, appropriate and consistent with these Official Rules, as determined by Sponsors in their sole discretion. Notice of termination/modification/suspension of Contest will be posted on the Websites. No responsibility is assumed for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or loss, destruction or unauthorized access to, or alteration of, entries (including Culinary Resumes and Videos); or any problems or technical malfunctions of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or electronic entry to be received on account of technical problems or traffic congestion on the Internet or at any website, or any combination thereof, including any injury or damage to entrant's or any other person's computer related to or resulting from participation in or downloading any materials from this Contest.

Entrants further agree not to knowingly damage or cause interruption of the Contest and/or prevent others from participating in the Promotion. CAUTION: ANY ATTEMPT TO DAMAGE ANY ONLINE SERVICE OR WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST VIOLATES CRIMINAL OR CIVIL LAWS. IF SUCH AN ATTEMPT IS MADE, SPONSOR MAY DISQUALIFY ANY ENTRANT MAKING SUCH ATTEMPT AND SEEK DAMAGES TO THE FULLEST EXTENT OF THE LAW.

By participating in this Contest, each Entrant releases, discharges and agrees to hold harmless ABC, Weight Watchers, Administrator,each of their respective parent, subsidiary, affiliated, related and successor companies, franchisees, advertising and promotion agencies, and each of the foregoing entities’ respective officers, directors, agents, shareholders, representatives and employees, as well as each of their respective successors, representatives and assigns (collectively, the "Released Parties") from any and all injuries, liability, losses and damages of any kind to persons, including death, or property resulting, in whole or in part, directly or indirectly, from entrant’s participation in the Contest or any Contest-related activity (including travel to participate in the Cook-Off, if verified as a Finalist) or the acceptance, possession, use or misuse of the Grand Prize (including any claims arising from the Agreement or any services rendered thereunder, to the extent permitted by law) or the Released Parties’ use of any of the rights granted in the Official Rules.

By participating in the Contest, each Entrant further agrees to release and hold harmless each of the Released Parties for: (1) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Contest; (2) technical failures of any kind; (3) unauthorized human intervention in any part of the entry process or the Contest; or (4) technical or human error which may occur in the administration of the Contest or the processing of entries.


11. 
Disputes; Arbitration; Choice Of Law: Except where prohibited, entrants agree that: (a) any and all disputes, claims, and causes of action arising out of or connected with this Contest, or the award of the Grand Prize/determination of Finalists and the Grand Prize winner, shall be resolved individually, without resort to any form of class action, and exclusively by arbitration pursuant to the Rules of the American Arbitration Association, then effective; (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest but in no event attorneys’ fees; and (c) under no circumstances will entrant be permitted to obtain awards for and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant and/or Released Parties in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the State of New York, without regard for conflicts of law doctrine of New York or any other jurisdiction, and all proceedings shall take place in the City of New York, County of New York.
